Job description
We are seeking a highly talented Corporate Lawyer to our Corporation’s legal team. The successful candidate will provide a wide range of legal counsel and support to the company on various corporate matters, including mergers and acquisitions, corporate governance, securities law, and contract negotiations. The ideal candidate will possess strong legal acumen, excellent communication and interpersonal skills, and a proactive approach to identifying and mitigating legal risks.
Key Responsibilities:
- Provide legal advice and counsel on a wide range of corporate matters, including:
- Mergers and acquisitions transactions, including due diligence, drafting and negotiating transaction documents, and obtaining necessary approvals.
- Securities law compliance, including SEC filings, equity offerings, and insider trading regulations.
- Contract negotiation and drafting, including commercial contracts, vendor agreements, and employment agreements.
- Corporate finance transactions, including debt and equity financings.
- Conduct legal research and analysis on complex legal issues and prepare legal our Corporation opinions and memoranda.
- Monitor and advise on relevant legal and regulatory developments that may impact the company's business.
- Represent the company in legal proceedings and negotiations as needed.
- Collaborate with other departments within the company to provide legal support and guidance.
- Maintain a strong understanding of industry best practices and relevant legal and regulatory frameworks.
Required Skills and Qualifications:
• Juris Doctor degree from an accredited law school.
• Active bar membership in good standing
• Years of relevant experience as a corporate lawyer, preferably in a financial law firm or in-house legal department.
• Strong knowledge of corporate law, securities law, and M&A law.
• Excellent research, analytical, and problem-solving skills.
• Strong written and verbal communication, negotiation, and interpersonal skills.
• Ability to work independently and as part of a team.
• Meticulous attention to detail and strong organizational skills.
Job Type: Full-time
Pay: $181,975.00 – $203,499.00 per year
